END-USER LICENSE AGREEMENT FOR THIS SOFTWARE

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and the mentioned author of this product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). The alternate version of SOFTWARE PRODUCT called TRIAL VERSION is a time-limited version of SOFTWARE PRODUCT. SOFTWARE PRODUCT may be installed as part and/or accompanying third party software, called a "VAR installation". TRIAL VERSION may be installed accompanying other software as a demo.

You may not install or use the SOFTWARE PRODUCT unless you have read and accepted this EULA. By clicking 'I accept the agreement' and installing the software, you confirm your acceptance.

1.1. SOFTWARE PRODUCT LICENSE

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. It is licensed, not sold.

AI Functionality:
The SOFTWARE PRODUCT may include optional features that utilize artificial intelligence or machine learning services ("AI Features").

Use of the AI Features is governed by separate documents, including the AI Features Terms of Service and the AI Features Acceptable Use Policy (collectively, the "AI Terms"), as updated from time to time by the Author.

The AI Features are not licensed under this EULA and may only be accessed and used in accordance with the applicable AI Terms.

By using the AI Features, you agree to comply with the applicable AI Terms. The Author reserves the right to modify, suspend, limit, or discontinue any AI Features at any time.

In the event of any conflict between this EULA and the AI Terms, the AI Terms shall prevail solely with respect to the AI Features and their use.

1.2. GRANT OF LICENSE

Subject to the terms of this EULA, the Author grants you a limited, non-exclusive, non-transferable license to install and use the SOFTWARE PRODUCT.

Installation and Use:
The number of users permitted to use the SOFTWARE PRODUCT depends on the number and type of licenses purchased.

Each Named License or Subscription License authorizes use of the SOFTWARE PRODUCT by one specifically identified individual user ("Licensed User").

A Licensed User may install and use the SOFTWARE PRODUCT on multiple computers, devices, or virtual environments, provided that:
- the SOFTWARE PRODUCT is used solely by that Licensed User; and
- the license is not shared concurrently with other users.

Licenses purchased by an organization must be assigned to individual users. Organizations may reassign licenses to replacement users when the original Licensed User no longer requires access to the SOFTWARE PRODUCT.

The TRIAL VERSION may be installed and used by an unlimited number of users during the applicable trial period.

The Lite Edition may be used free of charge for non-commercial personal use only.

The TRIAL VERSION and Lite Edition do not require a License Key. All other editions of the SOFTWARE PRODUCT require a valid License Key for activation and feature entitlement.

For restrictions applicable to VAR installations, see Section 4.

Reproduction and Distribution:
You may reproduce and distribute an unlimited number of copies of the TRIAL VERSION, provided that:
- each copy is complete and unmodified;
- all copyright, trademark, and other proprietary notices are retained; and
- each copy is accompanied by this EULA.

The TRIAL VERSION may be distributed as a standalone product or bundled with your own product.

In case of a VAR installation, the SOFTWARE PRODUCT may only be distributed and installed as part of the accompanying third-party software product and subject to a valid VAR license agreement.

1.3. LICENSE TYPES

a) NAMED LICENSE
A perpetual license assigned to a specific individual user or organization.

A Named License grants a perpetual right to use the versions of the SOFTWARE PRODUCT obtained while an Update Subscription was active.

A Named License includes an Update Subscription for one (1) year from the date of purchase.

A separate license is required for each Licensed User.

b) SUBSCRIPTION LICENSE
A time-limited license assigned to a specific individual user or organization.

A Subscription License permits use of the SOFTWARE PRODUCT while the subscription remains active and includes access to all available updates.

An active internet connection may periodically be required for license validation.

A separate license is required for each Licensed User.

c) LITE EDITION LICENSE
The Lite Edition is a free edition of the SOFTWARE PRODUCT intended solely for non-commercial personal use.

The Lite Edition may contain feature limitations as described in the product feature matrix published on the Author's website. Such limitations and features may be modified from time to time.

d) TRIAL VERSION
The TRIAL VERSION is a time-limited evaluation version of the SOFTWARE PRODUCT intended solely for evaluation and testing purposes.

The TRIAL VERSION may include functional, technical, or time-based limitations.

1.4. UPDATES of SOFTWARE PRODUCT

1.4.1. Updates for NAMED LICENSE

While you maintain an active Update Subscription, you are entitled to receive all updates, maintenance releases, and new major versions of the SOFTWARE PRODUCT released during the subscription period.

After expiration of the Update Subscription, you may continue to use the SOFTWARE PRODUCT under your existing license, but you will no longer be entitled to receive updates, maintenance releases, or new major versions until the Update Subscription is renewed.

Renewal fees for the Update Subscription may vary depending on the time elapsed since expiration. If renewal occurs more than three (3) months after expiration, the renewal rate is increased by 20%. If renewal occurs more than twelve (12) months after expiration, the renewal rate is increased by 60%.

Renewal of an Update Subscription is available for up to thirty (30) months after expiration. After that period, renewal is no longer available and a new license purchase is required.

Current renewal pricing is published by the Author and may be updated from time to time.

In case of VAR installations, update notifications are provided to the VAR and not to end users.

1.4.2. Updates for SUBSCRIPTION LICENSE

While your Subscription License remains active, you are entitled to receive updates of the SOFTWARE PRODUCT and access to the most recent available version.

Upon expiration or termination of the Subscription License, your right to receive updates and access to newer versions will cease.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

Limitations on Reverse Engineering, Decompilation, and Disassembly.
You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

Separation of Components:
The SOFTWARE PRODUCT is licensed as a single product. Its component parts may not be separated for use on more than one computer.

Software Transfer:
You may permanently transfer all of your rights under this EULA, provided the recipient agrees to the terms of this EULA.

Termination:
Without prejudice to any other rights, the Author of this Software may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.

Distribution:
The SOFTWARE PRODUCT may not be sold or be included in a product or package which intends to receive benefits through the inclusion of the SOFTWARE PRODUCT. A third party is allowed to install SOFTWARE PRODUCT as part of third party's software product if the third party has a VAR license agreement. In such case, the license is granted to the third party.

The "Lite Edition" of the SOFTWARE PRODUCT may be freely distributed, subject to the restrictions described in this EULA.

3. COPYRIGHT

All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images or animations incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by the Author of this Software. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material.

4. VAR LICENSE AGREEMENT

A third party ("VAR") that wants to install SOFTWARE PRODUCT as part of their own product or to support their own product can do this after purchasing a VAR license instead of end-user licenses.

A VAR license does not allow VAR to install SOFTWARE PRODUCT on any number of computers at the VAR office for their own usage.

A VAR may install SOFTWARE PRODUCT bundled with their own product when deploying their product to their customers.

5. U.S. GOVERNMENT RESTRICTED RIGHTS

The SOFTWARE PRODUCT and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 48 CFR 52.227-19, as applicable. 6. MISCELLANEOUS

6.1. LIMITED WARRANTY

No Warranties.
The Author of this Software expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the SOFTWARE PRODUCT remains with you.

No Liability for Damages.
In no event shall the author of this Software be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this product, even if the Author of this Software has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

6.2. GOVERNING LAW

This EULA shall be governed by and construed in accordance with the laws of The Netherlands, excluding its conflict of law principles.

Any disputes arising out of or relating to this EULA or the SOFTWARE PRODUCT shall be subject to the exclusive jurisdiction of the competent courts of The Netherlands.
