AI FEATURES TERMS OF SERVICE

These AI Features Terms of Service ("AI Terms") govern the use of artificial intelligence functionality ("AI Features") provided as part of or in connection with Database Workbench ("Software Product") by Upscene Productions ("Upscene", "we", "our", or "us").
These AI Terms supplement the End-User License Agreement ("EULA") applicable to the Software Product. In the event of any conflict between these AI Terms and the EULA, these AI Terms shall prevail solely with respect to the AI Features.
By using the AI Features, you agree to these AI Terms.
1. AI FEATURES
The Software Product may include optional AI-powered functionality designed to assist users with tasks such as:
- SQL generation;
- query optimization suggestions;
- code completion;
- explanations and documentation;
- database scripting assistance;
- text generation;
- and similar productivity features.
The AI Features may rely on third-party artificial intelligence models and cloud services operated by external providers ("AI Providers").
AI Providers may include, but are not limited to:
- Mistral AI;
- OpenAI;
and other providers selected or made available by Upscene from time to time.
2. TRIAL VERSION LIMITATIONS
When using the TRIAL VERSION of the Software Product, AI Features may only be provided using Mistral AI models or services selected by Upscene.
Provider selection options may be limited or unavailable in the TRIAL VERSION.
Upscene reserves the right to modify, restrict, suspend, or discontinue AI functionality in the TRIAL VERSION at any time without notice.
3. AI SUBSCRIPTIONS
Certain AI Features may require an active AI subscription ("AI Subscription").
Users with an active AI Subscription may be permitted to choose among supported AI Providers made available by Upscene.
Available providers, models, quotas, usage limits, and features may change from time to time without prior notice.
Upscene does not guarantee continued availability of any specific AI Provider, model, version, feature, or integration.
4. THIRD-PARTY AI PROVIDERS
AI Features may transmit prompts, queries, database schema information, metadata, code snippets, or other user-provided content ("Input") to third-party AI Providers for processing.
By using AI Features, you acknowledge and agree that:
- your Input may be processed by third-party AI Providers;
- such processing may occur outside your country or jurisdiction;
- third-party AI Providers may apply their own terms, privacy policies, and retention practices;
- Upscene is not responsible for the acts, omissions, availability, security, or policies of third-party AI Providers.
You are responsible for reviewing any applicable third-party terms and privacy policies.
5. USER RESPONSIBILITY FOR INPUT
You are solely responsible for all Input submitted through the AI Features.
You agree not to submit:
- personal data unless permitted under applicable law;
- confidential information unless authorized;
- protected health information;
- payment card information;
- trade secrets without appropriate authorization;
- unlawful or infringing content.
You are responsible for ensuring that use of AI Features complies with all applicable laws, regulations, contractual obligations, and internal policies.
6. AI OUTPUT DISCLAIMER
AI-generated responses, suggestions, code, queries, explanations, or other outputs ("Output") may be inaccurate, incomplete, misleading, offensive, insecure, or unsuitable for your intended purpose.
AI Features may generate incorrect SQL statements, destructive queries, insecure code, or inaccurate technical advice.
You acknowledge that:
- AI Output is generated probabilistically;
- AI Output is not guaranteed to be accurate or reliable;
- AI Output may resemble content generated for other users;
- human review and validation are always required.
You are solely responsible for reviewing, testing, validating, and approving any Output before use in production environments or business-critical systems.
7. NO PROFESSIONAL ADVICE
AI Features do not constitute professional, legal, accounting, security, compliance, database administration, or technical consulting advice.
Any reliance on AI Output is solely at your own risk.
8. USAGE LIMITS
Upscene may impose usage limitations including, but not limited to:
- rate limits;
- monthly quotas;
- token limits;
- concurrent request limits;
- provider-specific restrictions;
- fair-use policies.
Upscene may suspend or restrict access to AI Features if usage exceeds
reasonable or permitted levels.
9. AVAILABILITY
AI Features require internet connectivity and access to third-party services.
Upscene does not guarantee uninterrupted availability, latency, response quality, or uptime of AI Features.
AI Features may be modified, suspended, or discontinued at any time.
10. ACCEPTABLE USE
Use of the AI Features is subject to the AI Features Acceptable Use Policy ("AUP").
Violation of the AUP may result in suspension or termination of access to AI Features or the Software Product.
11. INTELLECTUAL PROPERTY
You retain ownership of your Input, subject to rights necessary for operation of the AI Features.
Upscene does not claim ownership of Output generated specifically for you. However:
- similar or identical Output may be generated for other users;
- Output may not be unique;
- you are responsible for determining whether Output may be used legally.
Upscene makes no representation that Output is free from third-party intellectual property claims.
12. PRIVACY AND DATA PROCESSING
Use of AI Features may involve transmission and processing of data by third-party AI Providers.
Upscene may collect limited telemetry, diagnostics, usage statistics, and operational data necessary to provide, maintain, secure, and improve AI Features.
Users are responsible for obtaining all necessary permissions and consents before submitting data through AI Features.
13. SUSPENSION AND TERMINATION
Upscene may suspend, restrict, or terminate access to the AI Features immediately, with or without notice, if:
- you violate these AI Terms;
- you violate the Acceptable Use Policy;
- your use creates security, legal, operational, financial, or reputational risk;
- required third-party AI services become unavailable;
- Upscene reasonably suspects abuse, unauthorized use, or misuse of the AI Features or related services.
This includes, but is not limited to:
- attempts to intercept, capture, monitor, extract, or misuse API keys, authentication tokens, or credentials;
- packet sniffing or interception of communications;
- attempts to bypass licensing controls, subscription enforcement, quotas, billing mechanisms, or security protections;
- unauthorized access to provider APIs or related infrastructure;
- reverse engineering authentication or access control mechanisms.
Upscene may also suspend access where necessary to comply with legal obligations, enforce provider requirements, prevent abuse, or protect the security and integrity of the Software Product, AI Features, users, systems, or third-party services.
Termination or suspension of AI Features does not automatically terminate the underlying Software Product license unless otherwise stated.
14. DISCLAIMER OF WARRANTIES
THE AI FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
UPSCENE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, RELIABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.
UPSCENE DOES NOT WARRANT THAT AI FEATURES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
15. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPSCENE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE AI FEATURES OR ANY OUTPUT GENERATED BY THEM.
YOU ASSUME FULL RESPONSIBILITY FOR ALL USE OF AI OUTPUT.
16. CHANGES TO THESE TERMS
Upscene may modify these AI Terms from time to time.
Continued use of AI Features after updated terms become effective constitutes acceptance of the revised terms.
